Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "Customer", "Subscriber", "you", or "your") and ELANTRA TECHNOLOGIES PRIVATE LIMITED ("Company", "Elantra", "we", "our", or "us"), a company incorporated under the Companies Act, 2013, bearing Corporate Identification Number U62012KA2026PTC218933 and having its registered office at Girija Nivasa, Valmiki Nagar, Challakere, Chitradurga – 577522, Karnataka, India.

eeaso ("Platform", "Service", "Application", or "Software") is a Software-as-a-Service (SaaS) platform owned and operated by ELANTRA TECHNOLOGIES PRIVATE LIMITED.

These Terms govern your access to and use of eeaso, including all associated websites, dashboards, APIs, integrations, artificial intelligence features, scheduling tools, reporting systems, collaboration workspaces, and related services.

By accessing or using eeaso, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms and the Privacy Policy.

You must be at least thirteen (13) years of age to use the Platform.

Users under eighteen (18) years of age represent and warrant that they have obtained any consent or authorization required from a parent or legal guardian under applicable law.

By using the Platform, you represent and warrant that:

• You possess the legal capacity to enter into binding agreements;
• You are authorized to use the Platform;
• You will comply with applicable laws;
• Information provided by you is accurate and complete.

If you use eeaso on behalf of an organization, you represent and warrant that you possess authority to bind that organization to these Terms.

eeaso is a cloud-based software platform that may provide:

• Social media scheduling;
• Digital marketing productivity tools;
• Analytics and reporting;
• Team collaboration;
• Workspace management;
• Workflow automation;
• Artificial intelligence-assisted functionality;
• Business productivity tools;
• Integration management;
• Enterprise software services;
• Other related features and services.

The Company reserves the right to modify, improve, replace, suspend, restrict, or discontinue any feature of the Platform at any time.

Certain features require registration of an account.

Users agree to:

• Provide accurate information;
• Maintain updated account information;
• Protect login credentials;
• Maintain password confidentiality;
• Notify the Company of unauthorized access.

You are responsible for all activities conducted through your account.

The Company shall not be liable for losses arising from unauthorized access resulting from your failure to secure your credentials.

The Platform may permit team workspaces, multi-user organizations, user permissions, role-based access controls, and administrative controls.

Workspace administrators are solely responsible for:

• Managing permissions;
• Managing users;
• Controlling access;
• Reviewing activity within their organization.

The Company shall not be responsible for internal permission decisions made by workspace administrators.

The Platform may offer free plans, trial plans, monthly subscriptions, annual subscriptions, enterprise plans, promotional plans, and custom plans.

Features, pricing, usage limits, and availability may vary between plans.

The Company reserves the right to modify plans, pricing, limits, and features upon reasonable notice.

Where applicable, users agree to pay all fees associated with their selected subscription plan. Payments shall be due in accordance with the applicable billing cycle.

Users are responsible for taxes, banking fees, payment gateway charges, and government levies imposed by law.

Failure to pay may result in suspension, restriction, or termination of access.

Except where required by applicable law, all fees paid to ELANTRA TECHNOLOGIES PRIVATE LIMITED are non-refundable.

The Company may, at its sole discretion, provide credits, adjustments, or refunds in exceptional circumstances. Nothing in these Terms obligates the Company to issue refunds.

Users shall not:

• Violate any law or regulation;
• Upload unlawful content;
• Distribute malicious software;
• Attempt unauthorized access;
• Circumvent security controls;
• Reverse engineer the Platform;
• Abuse APIs or integrations;
• Interfere with service operation;
• Infringe intellectual property rights;
• Engage in fraudulent activity.

The Company may suspend or terminate accounts that violate this section.

eeaso may integrate with third-party services including Meta Platforms, Facebook, Instagram, WhatsApp Business, Google Services, OpenAI Services, cloud providers, CRM systems, marketing platforms, and other authorized integrations.

The Company does not control third-party services and shall not be responsible for their availability, policies, actions, security practices, or performance.

Use of third-party services remains subject to the terms of such providers.

Customer Data remains the property of the Customer.

The Customer grants the Company a limited, revocable, non-exclusive right to process Customer Data solely for service delivery, platform functionality, security, customer support, compliance obligations, and operational requirements.

No ownership rights are transferred to the Company.

The Platform may utilize artificial intelligence technologies provided by the Company and authorized third-party providers.

AI-generated outputs:

• Are informational in nature;
• May contain inaccuracies;
• Require human review;
• Do not constitute legal, financial, tax, accounting, compliance, investment, medical, or professional advice.

Users remain solely responsible for decisions based on AI-generated outputs.

All rights, title, and interest in eeaso, including software, source code, databases, designs, trademarks, logos, documentation, user interfaces, and proprietary technology, remain the exclusive property of ELANTRA TECHNOLOGIES PRIVATE LIMITED or its licensors.

No ownership rights are transferred through use of the Platform.

The Company shall use commercially reasonable efforts to maintain service availability.

However, the Company does not guarantee continuous operation, uninterrupted access, error-free functionality, or availability of any specific feature.

Maintenance, upgrades, security events, outages, and third-party failures may affect availability.

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY DISCLAIMS ALL WARRANTIES INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, RELIABILITY, ACCURACY, AND AVAILABILITY.

THE COMPANY DOES NOT GUARANTEE BUSINESS RESULTS, CUSTOMER ACQUISITION, LEAD GENERATION, REVENUE GROWTH, OR MARKETING PERFORMANCE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ELANTRA TECHNOLOGIES PRIVATE LIMITED SHALL NOT BE LIABLE FOR indirect, consequential, incidental, or special damages; loss of profits; loss of data; loss of business opportunities; or loss of goodwill.

THE AGGREGATE LIABILITY OF THE COMPANY SHALL NOT EXCEED THE TOTAL FEES PAID BY THE USER TO THE COMPANY DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

You agree to indemnify and hold harmless ELANTRA TECHNOLOGIES PRIVATE LIMITED, its directors, officers, employees, contractors, and affiliates from claims, damages, liabilities, losses, costs, and expenses arising from:

• Violation of these Terms;
• Violation of law;
• User-generated content;
• Misuse of the Platform;
• Infringement of third-party rights.

The Company may suspend, restrict, or terminate access to the Platform where these Terms are violated, fraud is suspected, security risks arise, payment obligations remain outstanding, or as required by law.

Termination shall not affect rights and obligations accrued before termination.

Collection and processing of information shall be governed by the Privacy Policy published by the Company.

By using the Platform, users consent to such processing as described therein.

These Terms shall be governed by and construed in accordance with the laws of India.

Any dispute arising out of or relating to these Terms, the Platform, or the Services shall first be attempted to be resolved through good-faith negotiations.

If unresolved within thirty (30) days, the dispute shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996.

The seat and venue of arbitration shall be Bengaluru, Karnataka, India. The arbitration proceedings shall be conducted in English.

Subject to the foregoing arbitration provisions, courts located in Bengaluru, Karnataka shall have exclusive jurisdiction over matters not capable of arbitration.

The Company reserves the right to amend, update, replace, or modify these Terms at any time.

Updated versions shall become effective upon publication on the Platform. Continued use of the Platform constitutes acceptance of revised Terms.
